An S Corporation pertains solely to tax matters. It is a corporation that elects to be taxed under Subchapter S of the Internal Revenue Code. The owners of the corporation report the profits and losses of S-corps on their personal tax returns. S corporations may only have one class of stock, they must be comprised only of shareholders who are United States citizens or residents, and there is a limit to 100 shareholders. The State of Ohio (OH) recognizes S-Corps but does not require an additional filing.
