Nevada Registered Agent FAQ
As your Nevada registered agent, our job is to accept service of process (notice of a lawsuit), legal correspondence, and other official notifications on behalf of your business. By providing registered agent service, CFS helps ensure that your company maintains good standing with the Secretary of State and meets its state compliance requirements.
A Nevada registered agent is appointed when you form a domestic company, such as an LLC or corporation, or when you register a foreign (out-of-state) company with the Secretary of State. A registered agent designation is made on the following forms:
- Nevada Corporation: Articles of Incorporation
- Nevada LLC: Articles of Organization
- Foreign Businesses: Application for Registration/Qualification
Yes. Nevada state law requires every corporation to appoint a Nevada registered agent. You cannot form a domestic company or register an out-of-state business without a registered agent.
A Nevada commercial registered agent is an individual or entity that has registered with the Secretary of State to provide registered agent services to 10 or more businesses. A commercial agent generally provides registered agent service as a primary part of its business.
A non-commercial agent, on the other hand, may be an individual such as a lawyer who provides registered agent service to only a small number (less than 10) clients.
A Nevada registered agent is required by law to fulfill the following duties:
- Maintain a registered office with a physical address in Nevada
- Keep regular business hours
- Accept service of process and legal correspondence on behalf of clients
- To contact clients when documents are accepted at the registered office
- To forward documents to clients in a timely manner
If your Nevada registered agent resigns, you have 31 days in which to appoint a new registered agent. After the 31 day period, your company is in violation of state law and can be administratively dissolved.
You must change your registered agent information with the Nevada Secretary of State after an agent resigns.
NRS 78.090 Registered agent required; address of registered office; powers of bank or corporation who is registered agent; penalty for noncompliance; service upon and delivery to registered agent in lieu of corporation.
1. Every corporation must have a registered agent who resides or is located in this State. Notwithstanding the provisions of NRS 77.300, each registered agent must have a street address for receiving service of process, which is the registered office of the corporation in this State. If the registered agent is in the business of acting as a registered agent for more than one business entity, the physical street address of the registered office must be in a location for which such use is not prohibited by any local ordinance. The registered agent may have a separate mailing address such as a post office box, which may be different from the street address.
