Nebraska Registered Agent FAQ
A Nebraska registered agent is responsible for accepting legal correspondence, service of process, and official state notifications on behalf of Nebraska businesses. For example, when a company is sued, a service of process is sent to the company’s Nebraska registered agent. The agent is required to notify the business and forward the documents to them in a timely manner.
Yes. The Nebraska Revised Statutes require that every business entity operating within the state appoint a Nebraska registered agent. Every company must also list a registered office (the physical street location of the registered agent) where service of process and other legal notifications can be delivered.
An agent for service of process is simply another term for a Nebraska registered agent. These are the same thing, and they offer the same services.
State law requires that a business continuously maintain a registered agent in Nebraska. If you fail to do so, your business will be in violation of the law and can be administratively dissolved by the Secretary of State.
The Nebraska Revised Statutes specify that the following may be appointed as a Nebraska registered agent:
- An individual resident of the state whose business office is identical with the registered office
- A domestic or foreign corporation or LLC whose business office is identical with the registered office
As your Nebraska registered agent, we are required to fulfill the following:
- Have and maintain a registered office in Nebraska (a physical address, not a PO box)
- Keep regular business hours to ensure reliable delivery of service of process and legal notices
- Accept service of process and legal notices on behalf of your business
- Contact you when we accept documents
- Forward all documents to you in a timely manner
If your Nebraska registered agent resigns, you have 31 days in which to designate a new registered agent. You must change your registered agent information with the Secretary of State. After the 31 day period, if you fail to appoint a new agent, your company will be in violation of state law and can be administratively dissolved.
Nebraska Revised Statute 21-233
