Washington LLC
What is a Washington LLC?
A Washington LLC is a form of a business entity that combines the benefits of a corporation with the benefits of a partnership. Corporations provide limited liability to its owners/stockholders (meaning, generally, that the owners are not personally liable for the debts or obligations of the business) while partnerships provide pass-through single taxation to its owners (partners).

Benefits of Forming an LLC in Washington (WA):
Taxes: An LLC has the flexibility to be taxed as a sole proprietor, partnership, S-corp or C-corp.
Pass-through Taxation: Typically, LLCs will choose to be taxed as a partnership to avoid double taxation, which occurs in corporations. This allows LLCs to distribute their profit among members who then report it on their personal tax returns. The LLC is not a tax payer, but often is required to file a tax return.
Limited Liability: The owners (members) of the LLC enjoy personal protection against some or all liability of the debts and obligations of the LLC.
Washington LLC Annual Report:
Washington LLCs must file an annual report each subsequent year on or before the date of organization, the cost is $60.00.
Washington LLC Guidelines:
An LLC is formed in the State of Washington (WA) when the Articles of Organization are properly filed with the Washington (WA) Secretary of State’s office along with the required filing fee. The following information must be included in the Washington (WA) Articles of Organization:
-Name of the Company (your company’s name must end in either Limited Liability Company, L.L.C. or LLC)
-The principal address of your business
-The name of the Registered Agent and its Washington (WA) address
-Duration for which your business will be in existence
Filing Fee:
The Secretary of State of Washington (WA) charges an LLC filing fee of $180.00 when you submit your company’s Articles of Organization with a paper form. The Secretary of State charges $200 for online filings.
Federal Beneficial Ownership Information Report Filing:
As a newly-formed LLC, you’ll probably need to submit a Beneficial Ownership Information (BOI) Report to the Financial Crimes Enforcement Network (FinCEN). The BOI report provides the federal government with basic information about your LLC and the people with the most power over your business decisions and profits. There’s no fee to file, and your information does not go on the public record.
Starting January 1, 2024, this report is due following company formation. This report is a little complicated, but we can make filing painless with our $25 BOI report filing service.
Registered Agent Information:
The Secretary of State of Washington (WA) requires all LLCs operating within Washington (WA) to have a designated registered agent at all times. The registered agent may be any individual or business with a physical Washington (WA) mailing address.
