Change California Statutory Agent

A corporation can change California statutory agent by filing a Statement of Information (Form SI-200) with the Secretary of State’s office. Corporations file the Statement annually, but it can be submitted at any time to amend the registered agent information. When submitted during the applicable filing period, there is a $20 fee and a $5 disclosure fee, but outside this period there is no fee. When Do I File My Statement of Information?

To change your registered agent, the SI can be submitted at any time.

California Corporations

After forming a corporation, a SI must be received by the Secretary of State within 90 days, and then annually thereafter during the calendar month in which the Articles of Incorporation were originally filed (if the corporation was formed in June, the SI is filed each year in June).

California LLCs

After filing Articles of Organization, an LLC must submit an SI within 90 days, and then every two years (biennially) during the month calendar month the Articles were originally filed in. The SI is required to be sent even if the LLC has conducted no business during the previous two years.

Who Can Be A California Statutory Agent?

California state law allows the following to act as a statutory agent:

  • Individual resident of the state
  • Domestic or foreign corporation in good standing with the Secretary of State

An LLC cannot be appointed as a statutory agent in California.

Can An LLC Be Appointed As a Statutory Agent in California?

No. An LLC cannot act as a California statutory agent.

Does My California Registered Agent Have to Consent?

Yes. You cannot appoint a California registered agent without their consent. If you are appointing a corporation as your agent, the corporation must file a certificate with the Secretary of State consenting to act as a statutory agent.

How Do I Change My California Statutory Agent?

To change a California statutory agent you can file a Statement of Information with the Secretary of State updating your agent information. California businesses must file a Statement of Information within specific periods of time, called filing windows. If you file within your filing window, you would pay the normal processing fee. If you file outside your filing window (to change your agent only), there is no fee.

  • LLC Fee: $20
  • Corporation Fee: $25

Corporations can file a Statement of Information online. LLCs cannot.

California Corporations Code Section 17701.13

(a) A limited liability company shall designate and continuously maintain in this state both of the following:

(1) An office, which need not be a place of its activity in this state.

(2) An agent for service of process.

(b) A foreign limited liability company that has a certificate of registration under Section 17708.02 shall designate and continuously maintain in this state an agent for service of process.

(c) An agent for service of process of a limited liability company or foreign limited liability company shall be an individual who is a resident of this state or a corporation that has complied with Section 1505 and whose capacity to act as an agent has not terminated.  If a limited liability company or foreign limited liability company designates a corporation as its agent for service of process in an instrument filed with the Secretary of State, no address for that agent for service of process shall be set forth in that instrument.
