Incorporating in Kentucky requires the submission and processing of Articles of Incorporation. This formation document is filed with the Secretary of State’s Division of Business Filings. After the Articles of Incorporation are processed, your corporation will have the legal standing to conduct business in the state.

Articles of Incorporation

Article 1: Name of the Corporation

A Kentucky corporation must be named in accordance with state law. You cannot register a corporate name that is already on file with another entity operating in the state. Articles filed with corporate names that are already registered will be rejected.

Article 2: Authorized Shares

You must list the number of shares that the corporation is authorizing at the time of incorporation. Authorizing is not the same thing as issuing. Authorizing shares is the creation of shares of stock. Authorized shares are not required to be issued. Shares are issued in exchange for assets or services and once issued represent a share of ownership.

Par value of shares is not required to be listed.

Article 3: Registered Agent

Every corporation in the state must appoint a Kentucky registered agent to accept legal correspondence and service of process on behalf of the corporation. A registered office must be maintained by the agent within the state, and the agent must be able to accept certified mail during regular business hours throughout the year.

Article 4: Principal Office Mailing Address

A corporation’s principal office mailing address must be listed on the Articles of Incorporation. This office does not have to be in the State of Kentucky.

Article 5: Incorporators

An incorporator is the individual or entity which prepares and submits the Articles of Incorporation. The names of all incorporators, as well as their mailing addresses, must be listed.

Article 6: Effective Date

A Kentucky corporation can be formed either upon the date of filing or at a later date. If you wish to have a delayed effective date, it can be no more than 90 days after the filing is submitted. The delayed effective date must be listed here.

Submitting the Articles of Incorporation

Articles of Incorporation can be submitted to the Kentucky Secretary of State’s Division of Business Filings by mail, in person, or online through the KY One-Stop Business Portal. A minimum $50 processing fee must accompany the filing ($40 filing fee plus a minimum $10 Organization Tax).

Calculating the Kentucky Organization Tax

Kentucky imposes an Organization Tax upon all corporations forming within the state. The Organization Tax is calculated based upon the number of shares of stock authorized by the Articles of Incorporation. The minimum fee is $10 for 1,000 shares (or fewer).

If a corporation authorizes more than 1,000 shares, the fee is based on the following:

  • $.01 per share up to 20,000 shares
  • $.005 per share for the next 180,000 shares
  • $.002 per share on all additional shares

For corporations authorizing more than 200,000 shares, there are actually three calculations that must be made. Let’s imagine that a corporation authorizes 250,000 shares of stock upon incorporation.

In this case, to find the total Organization Tax you must add together the following calculations:

  • 20,000 shares x $.01 = $200
  • 180,000 shares x $.005 = $900
  • 50,000 shares x $.002 = $100

The total Organization Tax in this case would be $1200, which would be added to the filing fee ($40) for the Articles of Incorporation.
