Steps to Indiana LLC Foreign Qualification:

To register a foreign LLC in Indiana, you will need to file an Application for Certificate of Authority with the Business Services Division. This form can be submitted online, mailed or hand-delivered. The fee is $108 if filing online, and $125 if filing with the paper form.

Online applications are submitted through INBiz, the Indiana Secretary of State’s business portal.

Along with the Application, you must include a Certificate of Existence (also called a Certificate of Good Standing) from your home state. This document is issued by your home state’s Secretary of State.

When filing a foreign LLC qualification, you are required by law to designate an Indiana registered agent. The registered agent accepts service of process (notice of a lawsuit) on behalf of your LLC. The designation is done on the Application.

After the Application is filed, processing typically takes five to seven business days. Once you register a foreign LLC in Indiana, you must file a Biennial Business Entity Report every two years. The due date for the report is the final day of your anniversary month. There is a $30 filing fee ($22.40 online).

Indiana Registered Agent

When you hire an Indiana registered agent, you are appointing an individual or business entity to accept service of process (notification of a lawsuit) on behalf of your company. Registered agents also accept other important business mail on behalf of clients, such as notices from the Indiana Corporations Division.

All documents are accepted at the agent’s registered office, a physical street location (cannot be a PO box) within the state that must be kept open during regular business hours. Whenever documents are accepted, the client must be contacted and the documents forwarded to the client in a timely manner.

What is a Certificate of Existence?

A Certificate of Existence (also called a Certificate of Good Standing) is issued by your home state’s Secretary of State. It serves as proof that your company exists within that state and that your company is in good standing (has paid all of its taxes).

When you submit an Application for Certificate of Authority, you must include a Certificate of Existence with your filing. It can be no older than 60 days.

After a foreign LLC qualification is complete, you will be required to file a Business Entity Report every two years. The report is due by the last day of the anniversary month of your registration in Indiana. There is a $30 filing fee ($22.40 if you file online).
