There are two ways to change your registered agent in Colorado. You can make the change by filing a Statement of Change with the Secretary of State. This can only be filed online at the SOS website. The online filing system will allow you to look up your business and auto-fill the form’s information based on what is already on file with the SOS. There is a $10 filing fee.

The second way to change your registered agent in Colorado is on your Periodic Report. This method can only be used if you are within your periodic reporting period. Periodic Reports must be filed online. There is a $10 filing fee.

When Can I File My Periodic Report to Change Colorado Registered Agent?

Am I Legally Required to Appoint a Colorado Registered Agent?

Yes. The Colorado state code (CRS 7-105-101) requires business entities to designate and maintain a registered agent in order to conduct business within the state.

Who Can Serve as a Colorado Registered Agent?

How Do I Change My Colorado Registered Agent?

You can change your Colorado registered agent by filing a Statement of Change with the Secretary of State. You must file this document online. There is a $10 filing fee.

What If I Fail to Maintain a Colorado Registered Agent?

Failure to maintain your Colorado registered agent is a violation of state law. If you do not have a registered agent for longer than 31 days, your company can be administratively dissolved by the Secretary of State.

(a)  A registered office; and

(b)  A registered agent, who shall be:

(I)  An individual who resides in this state and whose business office is identical with the registered office;

(II)  A domestic corporation or domestic nonprofit corporation whose business office is identical with the registered office; or

(III)  A foreign corporation or foreign nonprofit corporation authorized to transact business in this state whose business office is identical with the registered office.

(2)  A corporation shall not serve as its own registered agent.
