Foreign LLC Wyoming Qualification

Foreign LLC Wyoming Qualification Steps for filing with the Wyoming Secretary of State

  1. Confirm Your LLC Name: For Foreign LLC Wyoming Qualification, foreign LLCs (an LLC formed in another state), must register a name to use in Wyoming. The Limited Liability Company name must meet the standards of Wyoming state law and cannot be currently in use by another business entity in Wyoming. If the name is in use, a separate name must be registered. If you see a corporation with the same name, the LLC can not be registered.
  2. File Certificate of Authority: Pursuant to W.S. 17-16-1533 of the Wyoming Business Corporation Act, for a foreign LLC qualification you are required to file a Foreign LLC Certificate of Authority with the Wyoming Secretary of State’s business division. There is a $100 filing fee due to the Wyoming Secretary of State when filing the proper documents.
  3. Include Certificate of Existence: Include a Certificate of Existence (also known as a Cert. of Good Standing), when filing the Certificate of Authority. The Secretary of State’s office from an entity’s home state, (the state where you originally incorporated), will issue this document upon your request. When submitting it to Wyoming, it cannot be older than 60 days. If it is older than 60 days, you will be required to order a new one from your LLCs home state.
  4. Designate a Wyoming Registered Agent: All foreign LLCs are required to appoint and maintain a registered agent in Wyoming, all states for that matter. Foreign LLC Wyoming qualification will not be accepted without one. This is done on the Certificate. Corporate Filings Solutions can provide registered agent service in Wyoming for as little as $55 a year with prepayment.
  5. Wait for Processing Confirmation: The Wyoming Secretary of State typically takes three to five business days to complete processing. There is no expedite available.

Registered agents can be: an individual residing in the state; a domestic entity in good standing with the state; or a foreign entity in good standing with a local office in the state. Agents must have a registered office (a physical street address, not a PO box). Service of process and certified business mail must be accepted and forwarded to clients in a timely manner. What is the Difference Between Registered Agents and Resident Agents?

Nothing. These are different terms for the same service. For years registered agent service in Nevada was called resident agent service. In the past, Nevada was a hot state to incorporate in. With all the increased fees, more are taking their formation business to Wyoming. With the old popularity of Nevada incorporation, the term resident agent stuck with many.

Annual Reports and Wyoming Taxes

After completing a foreign LLC qualification, an annual report is filed each year. The report is due on the first day of the anniversary month of registration. If the foreign LLC qualification was filed in May, the annual report is filed by May 1, the following and each year after that. The report fee is $52. It is filed online at the Secretary of State website.

There is no separate entity tax on foreign LLCs, and there is no state income tax in Wyoming. Wyoming is a great state to own a Limited Liability Company.
