Addresses

The mailing address of the Corporation and the Principal Office will be recorded on public record with the Wyoming Secretary of State.

Your Wyoming Registered Agent and Wyoming Registered Agent’s address will be mandatory information for the application. An address that is not a PO Box will be listed.

Officers/Directors

The names and usual business addresses of the Officers and Directors of the Foreign Corporation will be revealed on the application.

Date

List the date the Foreign Corporation started doing business in Wyoming. Back taxes and penalties may be enforced.

Good Standing

A Certificate of Good Standing or equivalent document that is no longer than 60 days old from the filing date will be included with all applications.

Foreign Corporation Wyoming Qualification Steps for filing with the Wyoming Secretary of State:

  1. Confirm Your Corporation Name: For Foreign Corporation Wyoming Qualification, foreign corporations (a corporation formed in another state), must register a name to use in Wyoming. The corporation name must meet the standards of Wyoming state law and cannot be currently in use by another business entity in Wyoming. If the name is in use, a separate name must be registered. If you see an LLC with the same name, the corporation can not be registered.
  2. File Certificate of Authority: Pursuant to W.S. 17-16-1533 of the Wyoming Business Corporation Act, for a foreign corporation qualification you are required to file a Foreign Corporation Certificate of Authority with the Wyoming Secretary of State’s business division. There is a $100 filing fee due to the Wyoming Secretary of State when filing the proper documents.
  3. Include Certificate of Existence: Include a Certificate of Existence (also known as a Cert. of Good Standing), when filing the Certificate of Authority. The Secretary of State’s office from an entity’s home state, (the state where you originally incorporated), will issue this document upon your request. When submitting it to Wyoming, it cannot be older than 60 days. If it is older than 60 days, you will be required to order a new one from your corporations home state.
  4. Designate a Wyoming Registered Agent: All foreign corporations are required to appoint and maintain a registered agent in Wyoming, all states for that matter.
