Steps to Foreign LLC Qualification in Nevada

The first step in a foreign LLC qualification is selecting a proper name for the LLC to use in Nevada. The LLC name must be distinguishable from other names already on file with the state. Once a name is selected, pursuant to NRS 86.544 an Application for Registration of Foreign Limited Liability Company is filed with the Secretary of State. There is a $75 filing fee. On the Application for Registration, a Nevada registered agent must be appointed.

Once the foreign LLC qualification is complete, a list of initial managers and members must be filed within 30 days. There is a $125 filing fee.

LLCs file a Statement of Information every year on the anniversary date of registration. If the foreign LLC qualification was filed on May 15, then the Statement of Information is filed every May 15. A $125 fee is assessed by the Secretary of State. In addition, there is a Business License Tax of $200 paid every year.

Foreign LLC Registration: Nevada Registered Agent

A foreign LLC registration will not be processed without the appointment of a Nevada registered agent. An agent can be any of the following:

  • An individual residing in the state
  • A domestic LLC or corporation
  • A foreign corporation or LLC with a domestic office within the state

All agents must maintain within the state a physical street address (not a PO box) where service of process and certified business mail can be accepted. Any agent serving more than 10 clients must register as a Commerical Registered Agent.

Annual Report and Taxes

Each year, an LLC must file a Statement of Information with the Secretary of State. There is a $125 filing fee. The SI is filed on the anniversary date of the day of the foreign LLC registration (if the foreign LLC qualification is registered on June 10, the SI is due June 10 each year).

In addition, Nevada levies an annual Business Privilege Tax of $200 upon all business entities.

An LLC is a pass-through entity, and taxes are paid on individual income tax returns. However, in Nevada, there is no state income tax.
