Steps to Kansas LLC Foreign Qualification:

The first step in foreign qualification is selecting a name for your LLC to use in Kansas. You cannot use a name already registered by another entity. To see if your name is available, you can conduct a Business Entity Name Search.

Once you have selected a name, to register your foreign LLC you must file a Foreign LLC Application. This is filed with the Secretary of State. There is a $165 filing fee. You cannot file this form online. You must mail, fax or hand-deliver it. Included with the Application, you must submit an original Certificate of Good Standing from your home state.

On your Application, you must designate a resident agent. Your resident agent must have a physical street address inside the state where certified mail can be readily accepted.

When all the documents are complete and submitted, processing should take two to three business days. Once your foreign LLC qualification is complete, you will be required to file an Annual Report each year. Annual Reports can be filed online. Reports are due by the 15th day of the fourth month after the end of your fiscal year. There is a $55 fee ($50 online).

Can I Reserve My Name in Kansas?

Yes. To reserve a name you must file a Temporary Reservation of Business Entity Name form with the Secretary of State. The filing fee is $35 ($30 online). You can file online. A name reservation is good for 120 days and cannot be renewed.

Kansas Resident Agent Requirements

A Kansas resident agent is required by law to perform the following:

  1. Maintain a physical street address, called a registered office
  2. Keep the registered office open during regular business hours
  3. On behalf of clients, accept service of process and important business mail
  4. When documents are accepted, contact clients
  5. Forward all documents to clients in a timely manner
