How to File a Kansas Foreign Corporation Qualification Document

Steps in registering a foreign corporation in Kansas:

  1. Pick a Corporate Name

You must select a name for your corporation to use in Kansas. It must be distinguishable from all other business entity names already on file with the Secretary of State. Do a business name search to see if your name is available.

  2. File Foreign For-Profit Corporation Application

To qualify your foreign corporation, file a Foreign For-Profit Corporation Application with the Secretary of State’s office. This cannot be filed online. There is a $115 filing fee. On the filing, you must appoint a Kansas resident agent to accept service of process on behalf of your company. With the Application, you must include a Certificate of Good Standing from your home state.

  3. Wait for Processing

Typical filing time in Kansas is two to three business days. You can expedite a filing by faxing it and paying an additional $20. This guarantees two-day processing.

Kansas Corporation Registration Quick Facts

How Do I Get a Certificate of Good Standing?

A Certificate of Good Standing (also called a Certificate of Existence) is received from you home state’s Secretary of State office. This document is issued as proof that your corporation exists in your home state and is currently in good standing. My Company Name is Already Registered. Do I Have to Select a Different Name?

If you do not want to choose a different name to use in Kansas, you have two options:

  • To get a letter of consent from the existing entity allowing you to use the name in Kansas
  • To include a letter with your Application stating that you will list your corporation’s home state as a means of identification and in your advertising within the state of Kansas

Should you go with the latter, your company name in Kansas would be, for example: Joe Smith, Inc. (New York).

Kansas Resident Agent Duties

Your Kansas resident agent must maintain a registered office. This must be a physical street location, not a PO box. The registered office must be kept open during regular business hours throughout the year so that certified mail can reliably be delivered to the address. A resident agent must agree to accept service of process and other official business mail on behalf of clients. When documents are accepted at the registered office, clients must be contacted and the documents forwarded to clients in a timely manner.

Annual Report

After your foreign corporation qualification is complete, your company must file an Annual Report every year. The filing date is the 15th day of the fourth month after the end of your fiscal year. The filing fee is $55, but you can file online for $50.
