How to File a Connecticut Foreign Corporation Qualification Document

Steps in registering a foreign corporation in Connecticut:

  1. To register a foreign corporation in Connecticut, you will need to determine what name your company will use in the state. You can use your corporation’s true name as long as it adheres to Connecticut state law and is not currently on file with the Secretary of State. If the name is already in use, you will need to select a different name.
  2. A foreign corporation qualification is achieved by filing an Application for Certificate of Authority with the Secretary of State and paying the associated fee of $385. The form can be filed by mail, fax or in person. Accompanying the Application, you must also include a Certificate of Existence or Certificate of Good Standing from your home state.
  3. When filling out the Application for Certificate of Authority, you are required to appoint a Connecticut registered agent for service of process. The registered agent is required to maintain a registered office within the state, which is a physical street address (not a PO box) where certified business mail can be accepted during regular business hours.
  4. Once you register a foreign corporation, you will be required to file an annual report each year and pay the annual fee of $435. If your corporation has filed for S-corporation status with the IRS, you will also be required to pay the biennial Business Entity Tax of $250. This is paid to the Department of Revenue.

 

What Do I Need From My Home State?

You will need to submit a Certificate of Good Standing (also called a Certificate of Existence) to the Secretary of State with your Application for Certificate of Authority. This document is proof that your corporation exists in your home state and is currently in good standing (has paid all of its taxes and met all of its compliance requirements). A Certificate of Good Standing is issued by your Secretary of State’s office.

 

Does My Foreign Corporation Have to Pay Business Entity Tax?

You will need to pay the biennial Business Entity Tax only if you have filed with the IRS to be treated as an S-Corporation. If your tax status is a C-Corporation, then you do not have to pay the Business Entity Tax.
