Steps to Foreign LLC Qualification in Virginia

  1. Virginia LLC Name. A foreign LLC registration cannot be processed unless the name selected for use in Virginia both conforms to state law and is not currently registered with the State Corporation Commission.
  2. Application. The foreign LLC qualification is begun by filing an Application for a Certificate of Registration to Transact Business in Virginia with the SCC. Accompanying the Application must be a certified copy of the LLC’s Articles of Organization or other constituent documents (including all amendments and corrections). There is a $100 filing fee.
  3. Registered Agent. On the Application for a Certificate of Registration, a Virginia registered agent must be appointed. The foreign LLC registration will not be processed without a registered agent.
  4. Processing. At the moment, unexpedited filing times have increased to 28 days. Expedited filings are processed within a few days.

Can an LLC Be Its Own Registered Agent?

No. In Virginia, an LLC cannot represent itself as its own agent.

Can I Include a Certificate of Existence/Good Standing With My Application?

No. The State Corporation Commission requires certified copies of the Articles of Organization in order to process a foreign LLC registration. Certificates of Existence/Good Standing is not sufficient and will not be accepted.

How Old Can the Certified Articles Be?

The certified Articles included with the Application must be authenticated within the last twelve months. Any older and the foreign LLC qualification will not be accepted.

Virginia Registered Agent

A Virginia registered agent must have a physical street address within the state, called a registered office, where service of process and certified business mail can be accepted on behalf of clients. The registered office must be kept open throughout the year during regular business hours. All documents must be forwarded to clients in a timely manner.

Annual Report and Registration

After a foreign LLC registration, there is no annual report to file for a limited liability company. There is, however, an annual registration fee of $50. This can be paid online.
