Annual Reports/Franchise Taxes
Each year (in certain states, every two years) after the incorporation of your business or formation of your LLC, the Secretary of State of your state of incorporation or formation will require your entity to file an annual report and pay related annual fees (sometimes referred to as “franchise taxes”). An annual report often contains basic information about your company (the required information differs state to state). It is important to your company and its owners (stockholders or members) and to ensuring that the protections you are afforded by your corporation or LLC that your company remain in good standing at all times.
Failure to timely file an annual report and/or pay the related annual fees may result in your company no longer being in good standing, and eventually may lead to the involuntary dissolution or revocation or your corporation or LLC.
