How to Register a Nevada Corporation Foreign Qualification:

Steps to Foreign Corporation Qualification in Nevada

  • Select a Corporate Name: The first step in foreign corporation qualification is choosing the right name. The company name must meet two standards: it must conform to state law, and it must be distinguishable from other companies already registered with the state.
  • File Paperwork: Pursuant to NRS Chapter 80, a foreign corporation registration begins by filing a Qualification to Do Business in Nevada form with the Secretary of State. There is an associated fee based upon the value of the total number of authorized shares. The minimum fee is $75.
  • File Initial List: In accordance with NRS 80.110, after filing paperwork for a foreign corporation registration, entities must file an initial list of officers within 30 days of foreign registration. This list will be filed every year. There is an initial fee of $125.
  • File Statement of Information: Each year, a foreign corporation is required to file a Statement of Information and pay the $125 filing fee.

Note that if paying any filing via credit card, the state applies a 2.5% processing fee.

What If My Corporation Name Is Not Available in Nevada?

A foreign corporation qualification can not be processed if you select a corporate name that is already in use in Nevada. To avoid rejection, a Modified Name Resolution form can be filed with the Qualification application. This form allows you to select a separate name to be used solely in Nevada instead of the name registered in your corporation’s home state.

Foreign Corporation Qualification: Nevada Registered Agent

A Nevada registered agent must:

  • Maintain a physical street address within the state (called a registered office)
  • Be open during regular business hours year round
  • Accept and sign for service of process and certified business mail
  • Forward documents and mail to clients in a timely manner

A foreign corporation registration must include the designation of a registered agent. An agent can be an individual living in Nevada, a domestic LLC or corporation, or a foreign LLC or corporation with a physical office in the state.

Foreign Corporation Registration: Annual Report and Taxes

Once a foreign corporation qualification is complete, each year a Statement of Information will be filed with the Secretary of State. There is a $125 fee to file. There is an additional Business Privilege Tax to be paid each year of $200. There is no corporate tax in Nevada.
