The existence of a Delaware corporation begins when its Certificate of Incorporation becomes effective, which means that the Certificate of Incorporation has been properly completed and filed with, and accepted by, the Secretary of the State of the State of Delaware, along with the required fee.
The Certificate of Incorporation must contain a corporate name, the name and address of the corporation’s registered agent in Delaware, the purpose of the corporation, the number and classes of authorized shares and the name of the incorporator(s).

Corporate Name:
In Delaware, your corporation’s name may not be the same as, or so similar to, another company’s name in Delaware that it could cause confusion.

The minimum tax is $75.00 with a maximum tax of $180,000.00. Corporations owing $5,000.00 or more are required to pay estimated quarterly taxes with 40% due June 1, 20% due by September 1, 20% due by December 1, and the remainder due March 1. The penalty for not filing a completed Annual Report on or before March 1st is $100. Interest at 1.5% per month is applied to any unpaid tax balance.
