Guidelines for Incorporating in Missouri (MO):
A corporation is formed in the State of Missouri (MO) when the Articles of
Incorporation have been properly completed, filed and accepted by the Secretary of State of Missouri (MO), along with the required registration fee.
The Missouri (MO) Articles of Incorporation must contain:
- the name of your corporation that you have chosen (see below for special rules regarding your corporation’s name)
- the name of the incorporator(s), which will be Filings Made Easy or an employee or agent of Filings Made Easy
- the corporation is authorized to issue only one class of stock, which will be 1,000 shares of common stock, $0.01 par value per share
- that there are no special rights, preferences or privileges of such stock
- the corporation will perpetually exist
- the corporation may engage in any lawful purpose in the State of Missouri
- the Articles of Incorporation are effective upon filing with, and acceptance by, the Secretary of State of the State of Missouri
- the name and address of the corporation’s registered agent
- the initial number of members of the Board of Directors is one (1) (also, each corporation must fill the position of both president and secretary, which positions may be filled by the same individual)
Corporate Name:
In Missouri, a corporation’s name must be distinguishable from the name of any other company whose name is on record with the Missouri Secretary of State. The name cannot falsely imply affiliation with any government or governmental agency.

Incorporation Filing Fees:
The filing fee is $3.00 and if no more than 30,000 shares are issued and the par value does not exceed $30,000 the incorporation fee is $55.00. If either of these amounts are exceeded the fee is then based on “authorized capital.” For each additional $10,000 of authorized capital you must add an additional $5.00 fee.
Annual Report:
An annual report must be filed with the Secretary of State of the State of Missouri every year in the month of incorporation. This report must include:
- The corporation’s name
- The address of its registered office and the name of its registered agent at that office in Missouri
- The names and business addresses of its directors and officers
- The mailing address of the corporation’s principal place of business
