The existence of a Massachusetts corporation begins when its articles of organization become effective, which means the articles of organization have been properly completed and filed with the Secretary of the Commonwealth of Massachusetts, along with the required fee.  The articles of organization must contain a corporate name, the number of authorized shares, the supplemental information that is not a permanent part of the articles, and an incorporator(s).

Unless otherwise specified by you in your online incorporation application, Filings Made Easy will include in your Massachusetts articles of organization:

  • the name of your corporation that you have chosen (see below for special rules regarding your corporation’s name);
  • the name of the incorporator(s), which will be Filings Made Easy or an employee or agent of Filings Made Easy;
  • that the corporation is authorized to issue only one class of stock, which will be 1,000 shares of common stock, $0.01 par value per share;
  • that there are no special rights, preferences or privileges of such stock;
  • that there are no restrictions on transferability of such stock;
  • that the corporation may engage in any lawful purpose in the Commonwealth of Massachusetts;
  • that the articles of organization are effective upon filing with, and acceptance by, the Secretary of the Commonwealth of Massachusetts;
  • that the name and address of the corporation’s registered agent (called a “resident agent” in Massachusetts) in the Commonwealth of Massachusetts will be Filings Made Easy or a party affiliated with Filings Made Easy (Filings Made Easy will provide this service for free for the first six months, and then at the rate of $125 per year each year thereafter);
  • the names and street addresses of the individuals who will serve as the initial directors, president, treasurer and secretary of the corporation (the business address of the corporation in this state will be included for such individuals if the applicant does not include a specific address for each person) (also, see below regarding special requirements in Massachusetts regarding number of members of the Board of Directors);

Corporate Name:

In Massachusetts, your corporation’s name may not be the same as, or so similar to, another company’s name in Massachusetts that it could cause confusion.

Director Information:

  • The Board of Directors of a corporation formed in Massachusetts must have 1 or more members, with the number specified in or fixed in accordance with the articles of organization or bylaws. If the corporation has a single shareholder, then it needs a minimum of one director; if the corporation has two shareholders, then it needs a minimum of two directors; and if the corporation has three or more shareholders, then it needs a minimum of three directors.
  • The names of each of the members of the Board Directors must be listed in the articles of organization.

Officer Information:

The articles of organization must list the names of the officers of the company.

Registered Agent Information (known as a “resident agent” in Massachusetts):

  • Massachusetts corporations must have a resident agent at all times.
  • The resident agent may be another corporation or a person with an address in Massachusetts.

Annual Report:

An annual report must be filed with the Secretary of the Commonwealth of Massachusetts every year within 2 months after the end of the corporation’s fiscal year. This report must include:

  • The corporation’s name and the state or country of incorporation;
  • The address of its registered office and the name of its registered agent (resident agent) at that office in Massachusetts;
  • The address of its principal office;
  • The names and business addresses of its directors, officers and chief executive officer and chief financial office, if different;
  • A brief description of any change in the nature of business;
  • The total number of authorized, issued and outstanding shares, itemized by class and series, if any, within each class; and
  • Any change in the fiscal year of the corporation.

Massachusetts S Corporations and S Corporations Operating in Massachusetts:

S Corporation elections are recognized by the Commonwealth of Massachusetts.  No additional paperwork is required to be filed in Massachusetts to elect S Corporation status, provided that the correct forms are properly completed and timely filed with the Internal Revenue Service.
