Incorporation Guidelines:
In the State of Maine (ME), a corporation is formed when the Articles of Incorporation have been properly completed, filed and accepted by the Secretary of State of Maine (ME), along with the required registration fee.
The Maine (ME) Articles of Incorporation must contain:
- The name of the corporation
- The Maine address of your corporation
- The purpose for which the corporation was formed
- The name and address of the Registered Agent (also known as a Commercial or Noncommercial Clerk in Maine)
- The name(s) and address(es) of the incorporator(s)
- The name number of directors who will constitute the initial board of directors
- The number, class and value of shares of stock the corporation is authorized to issue
Filings Made Easy will include the above information in your Articles of Incorporation unless otherwise specified by you in the online application process. In addition if you choose Filings Made Easy:
- The name of the incorporator(s), will be Filings Made Easy, an employee or agent of Filings Made Easy

Corporation Name:
In Maine (ME), the name of your corporation must be distinguishable from any other corporations name within the State. Filings Made Easy will conduct a preliminary name search to determine the availability of your corporation’s desired name.

S Corporation:
An S Corporation pertains solely to tax matters. It is a corporation that elects to be taxed under Subchapter S of the Internal Revenue Code. The owners of the corporation report the profits and losses of S-corps on their personal tax returns. S corporations may only have one class of stock, they must be comprised only of shareholders who are United States citizens or residents, and there is a limit to 100 shareholders. The State of Maine (ME) recognizes S-Corporations but does not require an additional filing.

Nonprofit corporations are created for the publics’ benefit or for the mutual benefit of the founders. Nonprofit corporations may not have shareholders or pay dividends, they also may not compensate members, officers or trustees.

When you submit your Articles of Incorporation, you must include a $145.00 filing fee.
Annual Report:
An annual report must be submitted to the Secretary of State’s office each year by June 1st. The cost to file an annual report is $85.00.
