Incorporating Guidelines:
A business must submit the completed Articles of Incorporation to the Secretary of State of Idaho (ID) to be properly incorporated.
The following must be included in the Articles of Incorporation: the name of the corporation, the number class and value of shares of stock the corporation is authorized to issue, the name and address of the initial registered agent, the name(s) and address(es) of the incorporator(s), and the mailing address of the corporation.
Filings Made Easy will include the above information in your Articles of Incorporation unless otherwise specified by you in the online application process. In addition the name of the incorporator(s), shall be Filings Made Easy, an employee or agent of Filings Made Easy. The name and address of the corporation’s registered agent in the State of Idaho will be Filings Made Easy or a party affiliated with Filings Made Easy (Filings Made Easy will provide this service for free for the first six months, and then at the rate of $125 per year each year thereafter).
Corporation Name:
Every corporation in Idaho (ID) must end in the following (or an abbreviation):

- Corporation
- Company
- Limited
Failure to include an ending in your application, will result in Filings Made Easy adding “Inc.” when preparing and filing your incorporation documents.
S Corporations:
To qualify your corporation as an S corporation you must file a sub chapter S corporation form with Internal Revenue Service (IRS). The State of Idaho (ID) does not require any additional State forms.
Registered Agent Information:
All corporations within Idaho (ID) are required by law to have a registered agent at all times. The registered agent may be any other corporation, person, or commercial registered agent company within the State and must have a physical Idaho (ID) mailing address.

Incorporation Fee:
The initial incorporation fee is $100.00 if the articles of incorporation are submitted typed. If they are submitted hand written the fee is $120.00. If you request expedite services there will be an additional $20.00 charge.
Annual report:
Each year a report must be filed with the Idaho Secretary of State of Idaho, except for the initial year of incorporation. The report must be filed before the end of the month in which the corporation was incorporated. The report must include: the name of the corporation, and the address and names of the registered agent, directors, president, and secretary.
