Incorporation Guidelines:

In the State of Georgia (GA), a corporation is formed when the Articles of Incorporation have been properly completed, filed and accepted by the Secretary of State of Georgia (GA), along with the required registration fee.

The Georgia (GA) Articles of Incorporation must contain:

• The name of the corporation
• The Georgia address where your company conducts business
• The name and address of the Registered Agent
• The number, class and value of shares of stock the corporation is authorized to issue
• The name and address of each incorporator

Filings Made Easy will include the above information in your Articles of Incorporation unless otherwise specified by you in the online application process. In addition if you choose Filings Made Easy:

• The name of the incorporator(s), will be Filings Made Easy, an employee or agent of Filings Made Easy
• The name and address of the corporation’s Registered Agent in the State of Georgia (GA) will be Filings Made Easy or a party affiliated with Filings Made Easy (Filings Made Easy will provide this service for free for the first six months, and then at the rate of $125 per year each year thereafter, when you purchase one of our traditional packages).

Corporation Name:

In Georgia (GA), the name of your corporation must be distinguishable from any other corporations name within the State. Filings Made Easy will conduct a preliminary name search to determine the availability of your corporation’s desired name.

Your corporation’s name must end in one of the following (or an abbreviation):

• Incorporated
• Corporation
• Company
• Limited

If you fail to include an ending in your application, Filings Made Easy will add “Inc.” when preparing and filing your incorporation documents.

Registered Agent Information:

All corporations within Georgia (GA) are required by law to have a registered agent at all times. The registered agent may be any other corporation, person, or commercial registered agent within the State and must have a physical Georgia (GA) mailing address.

S Corporation:

An S Corporation pertains solely to tax matters. It is a corporation that elects to be taxed under Subchapter S of the Internal Revenue Code. The owners of the corporation report the profits and losses of S-corps on their personal tax returns. S corporations may only have one class of stock, they must be comprised only of shareholders who are United States citizens or residents, and there is a limit to 100 shareholders. The State of Georgia (GA) recognizes S-Corps but does not require an additional filing.

Nonprofit Corporations:

Nonprofit corporations are created for the publics benefit or for the mutual benefit of the founders. Nonprofit corporations may not have shareholders or pay dividends, they also may not compensate members, officers or trustees.

Articles of Incorporation Fee:

When you submit your Articles of Incorporation you must include a $100.00 filing fee. Within 90 days after being incorporated you must file an initial “annual” report registration form with the Secretary of State’s office which lists three principal officers, the fee is $30.00

Annual Reports:

Annual reports must be submitted to the Secretary of State’s office each year, corporations formed between October 2^nd and December 31^st must file an annual report between January 1^st and April 1^st. All other corporations must file an annual report by April 1^st each year following incorporation, the fee is $30.00.
