Overview:
To form a corporation in the State of Florida (FL) you must file the Articles of Incorporation with the Secretary of State of Florida (FL) along with the proper registration fee. The Articles of Incorporation must contain:
- The name of the corporation
- The principal address of business
- The purpose of the corporation
- The number and classes of authorized shares of stock
- The name and address of the Registered Agent
- The names of the incorporator(s)
Filings Made Easy will include this information in your Articles of Incorporation unless otherwise specified by you in the online application process. In addition if you chose Filings Made Easy the name of the incorporator(s), will be Filings Made Easy, an employee or agent of Filings Made Easy and the name and address of the corporation’s registered agent in the State of Florida (FL) will be Filings Made Easy or a party affiliated with Filings Made Easy.
Corporate Name:
Your corporation’s name must end in one of the following (or an abbreviation): Incorporated, Corporation, Company, or Limited. Filings Made Easy will conduct a preliminary name search to determine the availability of your desired corporation’s name. If you fail to include an ending in your application, Filings Made Easy will add “Inc.” when preparing and filing your incorporation documents.
Registered Agent Information:
Florida (FL) corporations are required by law to have a registered agent at all times. The registered agent may be any other corporation, individual, or commercial registered agent within the State and must have a physical Florida (FL) mailing address.

Directors/Officers
The name(s), address(es) and titles of the director(s) and officer(s) are an optional provision in the Florida (FL) Articles of Incorporation. However as many licenses, banks and other services will require the information, it is advised that you include the information in your Articles of Incorporation.
Incorporation Fee:
The incorporation fee is $70.00. This must accompany your Articles of Incorporation when it is submitted to the Secretary of State of Florida (FL). A certificate of incorporation status costs an additional $8.75.
Annual Report:
Corporations are required to file an annual report between January 1st and May 1st of each year following the year of incorporation.
S Corporations:
S corporations are recognized by the State of Florida (FL). There is no additional State specific form for Florida S corporations.
