Steps to Foreign LLC Qualification in Idaho:

  1. Select a name for your LLC to use in Idaho. Your LLC name must meet the standards of Idaho state law, and it cannot already be in use within the state.
  2. To register a foreign LLC, you file a Foreign Registration Statement. This document is submitted to the Secretary of State. There is a $101 filing fee. On the Foreign Registration Statement, you must appoint an Idaho registered agent.You must include with the filing a Certificate of Existence from your home state.
  3. Wait for approval. Processing generally takes 2-3 weeks.

What is a governor?

In Idaho, at least one governor of your company must sign the Foreign Registration Statement. The governor is either a manager of your LLC (if your company is manager-managed) or a member of your LLC (if your company is member-managed).

You can conduct an Idaho Business Entity Search through the Secretary of State website. The search will bring up the names of all business entities that have registered with the state.

Idaho Registered Agent Service

When you foreign register your LLC, you must designate an Idaho registered agent to accept service of process on behalf of your business. A registered agent maintains a physical street location within the state, called a registered office. The agent is required to accept service of process (notice of litigation against your company) and other important business mail on behalf of clients. When documents are accepted, the clients must be contacted and the documents forwarded to them in a timely manner.

Annual Report

After your foreign qualify your LLC, you will be required to file an Annual Report each year during your anniversary month. If you registered in January, you would file your Annual Report in January. There is no filing fee.
