Steps in registering a foreign company in Colorado:

  1. A foreign LLC qualification begins by determining if your LLC’s name is already in use in the state of Colorado and if your name meets the standards set out by Colorado law. If your name does not fulfill both requirements, you will need to register an Assumed Entity Name for your foreign LLC Colorado qualification.
  2. To foreign qualify your LLC, you must file a Statement of Foreign Entity Authority with the Secretary of State. This can only be filed online. There is a $100 filing fee.

Do I Need a Certificate of Good Standing From My Home State to Foreign Qualify in Colorado?

No. The Secretary of State does not require you to file a Certificate of Good Standing or Certificate of Existence. The only document you need to file is the Statement of Foreign Entity Authority.

 

Can I Reserve My LLC’s Name?

Yes. You can file a Statement of Registration of True Name in order to reserve the true name of your LLC (the true name is the actual name of your LLC in your home state). The registration will remain in place until December 31 of the year in which you filed (registration can be renewed). In order to file the registration, your LLC’s true name must both conform to Colorado state law and not currently be in use.

The Statement of Registration of True Name can be filed online. There is a $25 filing fee.

 

Periodic Report

Once your foreign LLC qualification is complete, your business will have to file a Periodic Report each year and pay the $10 filing fee. The periodic reporting period for your business begins on the first day of the anniversary month of registration and extends for three months. If your LLC foreign registered on October 15, its reporting period is from October 1 to December 31.
