Definition of Authorized Stock:
The total number of shares of common stock and preferred stock that a corporation is authorized to issue. This number is included in the articles of incorporation.

It depends. The bylaws of the corporation and applicable law should be reviewed to determine if stock my be “certificated” or if it can be “uncertificated.”
