What is an Arizona Foreign Corporation?

An Arizona Foreign Corporation is an INC originally formed in another state that registers to do business in Arizona. The process of registering a foreign Corporation in Arizona is called foreign qualification. Foreign qualification is used to register a foreign company so that it may transact business in the state of Arizona. Legal Name

The legal names for both states will be listed on the application. The name of the Corporation in the state or country it was incorporated in originally. The exact and true name has to be entered. The second legal name is the name that is to be used in Arizona. You can have the option of using the same name where originally incorporated, the same name with a corporate identifier added to it or a fictitious name (only if your name is already taken).

Domicile Information

Domicile information to be listed will be the original date of incorporation and the original state or country that the Corporation was filed for business.

Duration

The duration of the Foreign Corporation being registered in Arizona will be set at perpetual automatically by the state. You may elect for a different time frame if you wish. You can end the Corporations life by number of years, on a certain date or in the occurrence of a specific described event.

Purpose

Engagement in any or all lawful business or affairs is the standard of Foreign Corporations. If your Corporation has limitations in the state or country it was formed, those limitations must be listed.

Character

A brief description of the character of business the Arizona Corporation intends to initially conduct in the state of Arizona. Although a description is required on the Articles of Incorporation, the nature of the business is not limited to the description provided.

Address

Two primary addresses will need to be listed. The first address is the Principal Office address of the Foreign Corporation. This will be the official address that the Corporation is listed under in it’s home state of incorporation. The second address will be the KPB or Known Place of Business. This address can be the Statutory Agent address or a different address, but not a PO Box.

Statutory Agent

A Statutory Agent is referred to as a Registered Agent in most states concerning incorporation laws. The Arizona Statutory Agent does the same job as a Registered Agent. Official state notices and any process of service will be delivered to the Statutory Agent for your Corporation doing business in Arizona. The name, address and optional mailing address will be provided when applying for a Foreign Corporation filing. Form M002 must also be accompanied with your filing. This form is the Statutory acceptance of service, or proof of Statutory Agent service.

Directors/Officers

All Principal Officers with addresses must be listed. Every Director of the Corporation and their addresses will also need to be listed to do business in the state of Arizona. The application will be signed by a duly authorized bankruptcy trustee, receiver, a court appointed fiduciary, authorized officer or the Chairman of the Board of Directors.

 

How to File an Arizona Foreign Corporation Qualification Document

Steps in registering a foreign corporation in Arizona:

  1. Application for Authority. To register a Foreign Corporation Arizona Qualification, you must file an Application for Authority to Transact Business or Conduct Affairs. This is filed with the Arizona Corporation Commission. You must also include a Cover Sheet, Certificate of Disclosure, Statutory Agent Acceptance form, and a Certificate of Existence/Good Standing from your home state. There is a $175 filing fee.
  2. Appoint Statutory Agent. All business entities must appoint an Arizona statutory agent. A statutory agent is responsible for accepting service of process and other business mail on behalf of clients. The agent must have a physical street address within the state. A statutory agent is appointed on the Application for Authority.
  3. Publication. After the ACC has approved the registration, foreign corporations must publish the Application for Authority in a local Arizona newspaper for three weeks. The ACC approval letter will include publication instructions.
  4. Annual Report. Each year, a foreign corporation must file an annual report. There is a $45 filing fee.
