Definition of Annual Meeting of Stockholders:

Most corporations are statutorily (and also possibly required by its bylaws or other governing documents) to hold an annual meeting of stockholders.  At an annual meeting of stockholders, the stockholders typically vote on one or more proposals of the board of directors (and in some cases, proposals made by other stockholders), including election of directors and ratification of the selection of the company’s auditors.
