What is an Alaska Foreign LLC?

A foreign Alaska LLC is an LLC originally formed in another state that registers to do business in Alaska. The process of registering a foreign LLC in Alaska is called foreign qualification. Foreign qualification is used to register a foreign company so that it may transact business in the state of Alaska. There are a few requirements when filing an application for registration in Alaska.

Under Alaska Statutes § 10.50.605, a foreign (out-of-state) limited liability company must file a Certificate of Registration with the Division of Corporations before conducting any business in Alaska. If the LLC’s name is currently used in the state by another company, an Assumed Name must be registered.

The Division of Corporations charges $350 to register a foreign LLC. To be approved for a foreign LLC qualification, an Alaska registered agent and registered office must be designated to accept service of process and sign for important certified business mail.

After you register a foreign LLC, the entity must file a Biennial Report every two years. The report is due on January 2. A foreign limited liability company pays $200.

Legal LLC Names

The legal name of the LLC must contain one of the following words “limited liability company” or one of the abbreviations “LLC” or “L.L.C.”. You must comply with name regulations concerning cities, burroughs and villages.

Assumed Name

An assumed name is used if your name is already taken by another Alaska business.

Duration, Date and Domicile

List the home state and the duration of the LLC. The time limit may be perpetual.

Disclosure

You must state the purpose for which the company is organized and list the six digit NAICS Industry Grouping Code that clearly states the initial activities of the company being formed in Alaska.

LLC Registered Agent

Your Alaska Registered Agent will maintain a local Alaska registered office where service of process (notice of a lawsuit) and certified business mail can be delivered throughout the year. The name of the Registered Agent and address are required to be listed for the filing to be processed.

In order to register a foreign LLC, Alaska Statute § 10.50.635 requires the appointment and continual maintenance of a registered agent and registered office, which is done on the Certificate of Registration. Registration will not be approved without one.

An Alaska registered agent can be:

  • A resident of the state of Alaska, or
  • A domestic corporation in good standing with the DOC, or
  • A foreign corporation in good standing with the DOC that also operates an office in the state

Alaska LLC Biennial Report and Taxes

All foreign limited liability companies will need to file a Biennial Report with the Division of Corporations, due every two years by January 2. The fee is $200. Failure to file the report and pay the fee will result in penalties.

An Alaska limited liability company is a pass-through entity and pays no state tax at the entity level. The taxes on the profits will be paid through the individual profit holders personal taxes. There is no state income tax.
